Terms of service

The agreement between you and FAR CNCPT LLC for your use of Capitol Note. Please read it carefully — by creating an account or accessing the Service, you accept these terms.

1. The agreement

These Terms of Service (the Terms) are a binding agreement between you (you or your) and FAR CNCPT LLC, a Wyoming limited liability company (Capitol Note, we, us, or our). They govern your use of the Capitol Note website, web application, command line interface, MCP server, official packages, and any related services we offer (collectively, the Service).

Our Privacy policyis incorporated by reference. If you use the Service on behalf of an organization (a firm, an association, a corporation), you represent that you have authority to bind that organization to these Terms, and “you” includes that organization.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You may not use the Service if you are barred from receiving it under the laws of the United States or your jurisdiction of residence.

3. Accounts and authentication

Account creation and sign-in are handled through our identity partner, Stack Auth (operated by Hexclave). You are responsible for keeping your sign-in credentials and any personal access tokens you generate confidential. You are responsible for all activity under your account, whether or not you authorized it, except to the extent caused by our failure to apply reasonable security measures.

If you suspect your account or a personal access token has been compromised, revoke the token in Settings and contact admin@farcncpt.com immediately.

4. Beta service

The Service is currently in beta. That means:

  • Features may change, be deprecated, or be removed without prior notice.
  • We make no uptime or service-level commitment.
  • The Service may have defects, including ones that cause data loss or incorrect output.
  • We may suspend access to the Service for maintenance, abuse investigation, or capacity reasons.
  • We may rewrite, migrate, or reset beta databases prior to general availability, with reasonable notice.

Do not record information in Capitol Note that you cannot afford to be lost, leaked, or incorrect. Maintain your own records of anything you would not be able to reconstruct.

5. Your content

5.1 Ownership

Between you and us, you retain all rights in the records, transcripts, notes, and other content you upload to or create through the Service (your Content).

5.2 License to us

You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, reproduce, modify (for technical purposes such as formatting, indexing, and AI processing), and create derivative works of your Content solely to provide and improve the Service for you. This license lasts for as long as your Content remains in your account; deleting Content terminates the license for that Content, subject to the backup retention described in our Privacy Policy.

5.3 You are responsible for your Content

You represent and warrant that:

  • You have all rights, licenses, consents, and lawful bases necessary to upload your Content and to instruct us to process it on your behalf.
  • Your Content does not violate the Lobbying Disclosure Act, House or Senate ethics rules, your firm’s confidentiality obligations, attorney–client privilege constraints, applicable data protection law, or any other law or rule that applies to your work.
  • Your Content does not include “sensitive” categories the Service is not designed to host: protected health information (as defined by HIPAA), full payment-card numbers, full Social Security numbers, government-issued biometric identifiers, or information about children under 13.
  • Where your Content describes other people (including congressional staff, members, agency officials, clients, or colleagues), you have a lawful basis to record that information and are responsible for honoring any rights those individuals have under applicable law.

You will indemnify us for breaches of these representations as described in Section 13.

6. AI features

6.1 How AI calls are routed

AI-assisted features (the capture endpoint, the question / ask endpoint, the MCP ask tool, and any future AI tooling) route through one of two key sources:

  • Managed grant.An administrator has granted you access to the platform’s AI provider API key, subject to a monthly token budget. Usage against a managed grant counts against that budget. We may suspend access if you exceed the budget, in which case AI features will return an error until the budget resets or the administrator increases it.
  • BYOK (bring your own key).You connect a personal AI provider API key in Settings. The key is held in your browser’s local storage and transmitted with the request; we do not persist it server-side. You are responsible for any costs you incur with the AI provider, and your use of that provider is governed by its terms.

6.2 No model training on your Content

We do not use your Content to train AI models — ours or anyone else’s. Our agreements with the AI provider obligate them to the same, as of the effective date above and subject to their then-current terms.

6.3 AI output is informational only

AI-generated summaries, briefs, action items, and answers are produced by a statistical model and can be wrong. Review AI output before relying on it in any professional context. Do not rely on the Service for legal, ethics, or compliance conclusions.

6.4 Third-party AI provider terms passthrough

When you use BYOK, your use of the AI provider is governed by the AI provider’s own terms of service and privacy policy. When you use a managed grant, the provider’s terms still apply to the data transmitted, but our commercial relationship with the provider controls the contractual relationship for that transmission.

7. Personal access tokens, CLI, and MCP

Personal access tokens you generate in Settings (prefixed cn_pat_) authenticate the CLI, the MCP server, and any external connector you choose to wire up. By generating a token, you authorize the holder of that token to perform the actions permitted by its scope on your behalf, until you revoke it.

You are responsible for the security of your tokens, for which clients you grant them to, and for the actions performed by those clients. If you publish a Capitol Note token in a public location (a git repository, a Slack channel, a blog post), we may revoke it without notice to protect the account.

8. Acceptable use

You will not:

  • Use the Service to send unsolicited contact to people you record in Capitol Note.
  • Use the Service to harass, defame, or stalk any individual.
  • Probe, scan, or attempt to exploit the Service’s security, except as part of a responsible-disclosure report you send first to admin@farcncpt.com.
  • Circumvent rate limits, the abuse-prevention system, AI grant budgets, or the row-level security boundary.
  • Reverse-engineer the Service, except where prohibited by law.
  • Use the Service to violate any law, regulation, or third-party right.
  • Resell the Service to third parties under your own brand without a written agreement with us.
  • Train a competing product on data you obtain from the Service.

We may suspend or terminate access for material breach of this section. For flagrant violations (active attacks on the Service, exfiltration attempts, illegal use) we may suspend immediately and notify after the fact.

9. Fees

During the beta the Service is offered at no cost. We may introduce paid plans in the future; if we do, we will give you at least 30 days’ notice and an opportunity to export your data before any charge takes effect. Use of BYOK incurs costs with the AI provider that we do not control or invoice.

10. Intellectual property

We retain all right, title, and interest in the Service, including the software, design, documentation, MCP skills, prompts, trademarks, and the “Capitol Note” name. Nothing in these Terms grants you a license to those rights beyond the limited right to use the Service in accordance with these Terms.

If you provide us with feedback, suggestions, or feature requests, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback to improve the Service without obligation or attribution to you.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, ACCURATE, OR COMPLETE, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS. AI OUTPUT IS GENERATED BY A STATISTICAL MODEL AND MAY BE INCORRECT, INCOMPLETE, OR MISLEADING; YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING IT.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS, LOST GOODWILL, LOST DATA, OR LOSS OF USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF THE DAMAGES.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS AND YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS (US$100). BECAUSE THE SERVICE IS CURRENTLY FREE, FOR MOST USERS THE PRACTICAL CAP IS US$100.

The limitations in this section apply to the maximum extent permitted by law. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

13. Indemnification

You will defend, indemnify, and hold harmless FAR CNCPT LLC, its members, officers, employees, and agents from and against any third-party claim, demand, loss, liability, damages, judgment, or expense (including reasonable attorneys’ fees) arising from:

  • Your breach of these Terms or the representations in Section 5.3;
  • Your Content or your use of the Service in violation of applicable law;
  • Your unlawful or otherwise improper handling of information about third parties recorded in the Service; or
  • Your violation of any third-party right, including intellectual property and privacy rights.

We will give you reasonably prompt notice of any claim subject to indemnification, let you control the defense (with counsel reasonably acceptable to us), and cooperate at your expense. You will not settle a claim that imposes obligations on us without our prior written consent.

14. Termination

You may stop using the Service at any time. To close your account, follow the deletion flow in Settings or email admin@farcncpt.com.

We may suspend or terminate your access for material breach of these Terms or as required by law. Where practical we will give you advance notice and a reasonable opportunity to cure.

On termination: Sections 5.3, 10, 11, 12, 13, 15, 16, and 17 survive. Your Content will be deleted in accordance with the retention schedule in our Privacy Policy.

15. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and we agree that the state and federal courts located in Wyoming will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information. Each party consents to the personal jurisdiction of those courts and waives any objection to venue.

16. Disputes

Before filing suit, you agree to send a written notice of any dispute to admin@farcncpt.com and to negotiate in good faith for at least 30 days. If we cannot resolve the dispute through negotiation, either party may proceed in court as provided in Section 15.

You and we waive any right to a jury trial in any action arising out of or related to these Terms or the Service.

17. Changes to these Terms

We may update these Terms from time to time. The effective date at the top of the page reflects the most recent material change. For material changes that increase your obligations or reduce your rights, we will notify you by email at least 14 days before the change takes effect, and continued use of the Service after the change indicates your acceptance. If you do not agree to a change, your sole remedy is to stop using the Service and close your account before the change takes effect.

18. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service and supersede any prior agreements.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be reformed only to the extent necessary to make it enforceable.
  • No waiver. Our failure to enforce a provision is not a waiver of the right to enforce it later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets.
  • Independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship.
  • Notices. We may send notices to you at the email associated with your account. You will send notices to us at admin@farcncpt.com.
  • Force majeure. We are not liable for failures caused by events beyond our reasonable control.
